Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Restaurant," or "Customer") and DineMitra ("Company," "we," "us," or "our") governing your access to and use of the DineMitra restaurant management and point-of-sale platform, including all associated software, mobile applications, web portals, APIs, and related services (collectively, the "Platform").
By registering an account, activating a free trial, or using any part of the DineMitra Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity — such as a restaurant, food outlet, café, cloud kitchen, or food court — you represent that you have the legal authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.

Eligibility & Account Responsibility
To use DineMitra, you must be at least 18 years of age and legally capable of entering into a binding contract under applicable law. By using the Platform, you represent and warrant that you meet these eligibility requirements.
When you create an account, you agree to:
- Provide accurate, current, and complete information during registration and keep it updated at all times.
- Maintain the confidentiality of your login credentials (username, password, and any access tokens).
- Accept full responsibility for all activity that occurs under your account, whether or not you authorized it.
- Notify us immediately at dinemitrainfo@gmail.com if you suspect unauthorized access to your account.
Each subscription plan may allow a defined number of user accounts or device logins per outlet. You are responsible for ensuring that all staff members using your DineMitra account comply with these Terms.

Services Provided
DineMitra provides a cloud-based restaurant management platform designed to help food businesses of all types — including fine dine restaurants, quick service restaurants (QSR), cafés, cloud kitchens, bakeries, bars, pizzerias, food courts, and large chains — streamline their daily operations.
The Platform includes, but is not limited to, the following features depending on your subscription plan:
- Point-of-Sale (POS) billing — GST and Non-GST invoice generation, split billing, multiple payment modes
- Kitchen Order Ticket (KOT) management and real-time kitchen communication
- Table and order management for dine-in, takeaway, and delivery
- Menu and item management including variants, combos, modifiers, and pricing
- Inventory and stock control with low-stock alerts and usage tracking
- Sales reports, analytics dashboards, and GST-ready reports
- Staff management, shift tracking, and performance reporting
- Mobile POS support for handheld devices and smartphones
- Multi-outlet management for restaurant chains
DineMitra reserves the right to add, modify, or remove features from the Platform at any time. We will endeavor to provide reasonable advance notice of significant changes.

Subscription, Billing & Free Trial
DineMitra offers subscription-based access to the Platform. Pricing and plan details are available on our Pricing page. By subscribing to a paid plan, you authorize DineMitra or its payment processor to charge the applicable fees to your designated payment method on a recurring basis (monthly or annually, as selected).
Free Trial
DineMitra offers a 30-day free trial for new users. No payment information is required to start. At the end of the trial, you must subscribe to continue. We reserve the right to modify or discontinue the free trial at any time.
Billing Cycle
Subscription fees are billed in advance at the start of each billing cycle. Fees are non-refundable except as expressly stated in our Refunds & Cancellations section.
Price Changes
DineMitra may change subscription prices at any time with at least 30 days' advance notice. Continued use after the effective date constitutes agreement to the updated pricing.
Taxes
All fees are exclusive of applicable taxes (including GST) unless otherwise stated. You are responsible for paying all such taxes associated with your subscription.

Refunds & Cancellations
Cancellations: You may cancel your DineMitra subscription at any time from your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period. You will retain access to the Platform until the end of the period for which you have already paid.
Refunds: As a general policy, subscription fees paid are non-refundable. We do not provide prorated refunds for unused portions of a subscription period. However, in cases of verified technical failure or billing error on our part, we may issue refunds at our sole discretion. Refund requests must be submitted within 7 days of the charge to dinemitrainfo@gmail.com.
Free Trial: The free trial period is provided at no charge. No refund is applicable to a trial period, as no payment is collected.

Acceptable Use
You agree to use DineMitra only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not use the Platform to:
- Engage in fraudulent billing, tax evasion, or any other illegal financial activity.
- Upload, store, or transmit any content that is unlawful, defamatory, obscene, or harmful.
- Attempt to gain unauthorized access to DineMitra's systems, servers, databases, or other users' accounts.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
- Use the Platform to build a competing product or service.
- Introduce viruses, malware, or any other harmful code into the Platform.
- Scrape, harvest, or collect data from the Platform through automated means without prior written consent.
- Share your account credentials with unauthorized third parties.
We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated this Acceptable Use policy.

Intellectual Property
All intellectual property rights in the DineMitra Platform — including but not limited to the software, design, user interface, dashboards, reports, templates, graphics, trademarks, trade names, and documentation — are owned by or licensed to DineMitra. These rights are protected by applicable Indian and international intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal restaurant operations during the subscription term. This license does not grant you any ownership rights in the Platform or its content.
You retain ownership of all data you input into the Platform, including your menu items, customer records, sales data, and business information ("Customer Content"). By using the Platform, you grant DineMitra a limited license to use, process, and store your Customer Content solely for the purpose of providing the services to you.

Third-Party Services
DineMitra may integrate with or link to third-party services, tools, or platforms (such as payment gateways, GST filing tools, or delivery aggregators) to enhance your experience. These third-party services are subject to their own terms of service and privacy policies, and DineMitra makes no representations or warranties regarding them.
We are not liable for any issues, losses, or damages arising from your use of third-party integrations. It is your responsibility to review and comply with any applicable third-party terms before using those services in conjunction with DineMitra.
DineMitra uses HubSpot for contact form submissions and customer relationship management. Any data you submit through our contact forms is subject to HubSpot's privacy policy in addition to our own.

Data, Privacy & Customer Content
Your use of the DineMitra Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, store, and protect your data.
Data Security
We implement industry-standard security measures to protect your data from unauthorized access, loss, or disclosure. No electronic storage is 100% secure, and we cannot guarantee absolute security.
Data Retention
We retain your business data for the duration of your active subscription and for a reasonable period thereafter as required by applicable law or for legitimate business purposes.
Data Export
Upon written request and within a reasonable timeframe, we will provide you with an export of your Customer Content in a commonly used format prior to account termination.
Analytics
DineMitra may use aggregated, anonymized data derived from usage patterns to improve our services. This data will not identify your restaurant or individual customers.

Service Availability
DineMitra strives to maintain high availability of the Platform. However, we do not guarantee uninterrupted, error-free service. The Platform may be temporarily unavailable due to:
- Scheduled maintenance (we will endeavor to notify you in advance).
- Unplanned outages or technical issues.
- Events beyond our reasonable control, including internet disruptions, government actions, or natural disasters.
DineMitra will make reasonable efforts to restore service as quickly as possible in the event of an outage. Planned downtime will be communicated through in-app notifications or email with as much advance notice as practically possible.

Termination
By You: You may terminate your account at any time by cancelling your subscription through your account settings or by contacting our support team. Termination will not entitle you to a refund for any unused portion of your current billing period, except as expressly stated in our Refunds & Cancellations policy.
By DineMitra: We may suspend or terminate your account, with or without notice, if:
- You breach any provision of these Terms.
- Your subscription payment fails and is not rectified within a reasonable grace period.
- We are required to do so by applicable law or court order.
- We decide to discontinue the Platform (with appropriate notice).
Upon termination, your right to access and use the Platform will immediately cease. We may delete your account data after a reasonable grace period following termination, unless retention is required by law. It is your responsibility to export any critical data before termination takes effect.

Disclaimer of Warranties
The DineMitra Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, DineMitra expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
- Any warranty that information provided through the Platform (including analytics, reports, or alerts) is accurate, complete, or reliable for your specific business decisions.
You use the Platform at your own risk. DineMitra is a software tool designed to assist your restaurant operations; final decisions regarding pricing, staffing, inventory, and business strategy remain entirely your responsibility.

Limitation of Liability
To the maximum extent permitted by applicable law, DineMitra and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption — arising out of or related to your use of or inability to use the Platform.
In no event shall DineMitra's total aggregate liability to you for all claims arising out of or related to these Terms or the Platform exceed the total amount you paid to DineMitra in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so the above limitations may not apply to you in full.

Indemnification
You agree to indemnify, defend, and hold harmless DineMitra and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform in violation of these Terms.
- Your Customer Content or business data processed through the Platform.
- Your violation of any applicable law or regulation.
- Any claims by your employees, customers, or third parties relating to your use of DineMitra in your restaurant operations.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in [City, State, India — to be specified by DineMitra].
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the parties may pursue resolution through arbitration or litigation as permitted under applicable Indian law.

Changes to Terms
DineMitra reserves the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification or displaying an in-app notice.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform and may cancel your subscription.
We encourage you to review these Terms periodically to stay informed of any updates.
